Contracts Manager responsible for the lifecycle of agreements at Instructure, Inc. Managing negotiations, compliance, and collaboration with internal teams.
Responsibilities
Draft, review, negotiate, and finalize a wide range of commercial contracts, including sales agreements, vendor contracts, partnership agreements, and non-disclosure agreements, in collaboration with legal counsel and business stakeholders.
Manage the contract lifecycle from initiation to execution and renewal, utilizing contract management systems and best practices.
Ensure all contracts comply with company policies, legal requirements, and industry regulations.
Identify and mitigate contractual risks, proposing solutions and alternative language to protect Instructure's interests.
Serve as a primary point of contact for internal teams (Sales, Finance, Product, etc.) regarding contract-related inquiries and provide guidance on contractual terms and conditions.
Develop and maintain contract templates, playbooks, and processes to improve efficiency and consistency.
Monitor contract performance and compliance, addressing any discrepancies or issues that arise.
Assist in the development and delivery of training to internal teams on contract processes and key terms.
Maintain accurate and organized contract records and documentation.
Participate in special projects and initiatives related to contract management and legal operations.
Requirements
Bachelor's degree in Business Administration, Legal Studies, or a related field. A Juris Doctor (J.D.) degree is a plus.
3-5 years of experience in contracts management, legal operations, or a similar role, preferably within a technology or software company.
Strong understanding of contract law, commercial terms and conditions, and legal principles.
Proven experience drafting, negotiating, and reviewing a variety of complex commercial agreements.
Excellent written and verbal communication skills with the ability to articulate complex legal concepts clearly to non-legal audiences.
Exceptional attention to detail and organizational skills.
Ability to manage multiple priorities, work independently, and meet deadlines in a fast-paced environment.
Proficiency with contract lifecycle management (CLM) software and other relevant business tools (e.g., Salesforce).
Strong analytical and problem-solving abilities.
Ability to build strong relationships and collaborate effectively with diverse teams.
