Responsibilities
Serve as a key mid-level team member on mergers and acquisitions transactions, from LOI/term sheets through closing and post-closing matters.
Draft, review, and negotiate purchase agreements, merger agreements, disclosure schedules, ancillary documents, and corporate governance materials.
Support private equity and strategic buyers and sellers on add-on acquisitions, carve-outs, and other complex transactions.
Handle general corporate and commercial matters, including entity formation, operating agreements, shareholder agreements, and routine corporate housekeeping.
Coordinate and lead due diligence efforts, synthesize findings, and help develop practical risk-mitigation and deal-structuring solutions.
Work closely with partners and clients to manage deal timelines, communicate issues, and keep transactions moving efficiently to closing.
Collaborate with colleagues across related practice areas (funds, finance, tax, litigation) to deliver integrated, business-focused advice.
Requirements
JD from an accredited law school with strong academic credentials.
3+ years of corporate transactional experience at a law firm; prior experience as a mid-level corporate/M&A associate strongly preferred.
Significant experience working on M&A deals (buy-side and/or sell-side), including drafting core deal documents.
Solid grounding in general corporate law, entity structures, and governance.
Strong drafting, negotiation, and analytical skills, with excellent attention to detail and judgment.
Admission to at least one U.S. state bar; ability to work from Stamford, CT on a regular basis.
