About the role
- Senior Corporate Paralegal supporting corporate legal matters including M&A, governance, and compliance at HP. Requires collaboration with various stakeholders and managing complex assignments.
Responsibilities
- Support M&A transactions, including due diligence, NDAs, closing deliverables, state corporate filings, securities filings, M&A-related regulatory investigations, and billing and budgeting matters
- Support M&A integration and separation planning activities, including cross-functional coordination with stakeholders to integrate people, processes, policies, systems, and contracts
- Support compliance with M&A and finance covenants
- Support SEC filings, including Forms 10-Q, 10-K, 8-K, proxy statements, and related materials
- Manage and coordinate NYSE listing standards compliance
- Support corporate governance activities, including D&O questionnaire review and data verification requests
- Prepare a wide variety of legal filings, reports, and research
- Advise on record retention needs and efforts
- Develop trainings, playbooks, and team resources
- Embrace and adopt AI and other new technologies to drive efficiencies
- Coordinate legal and internal stakeholder input
- Review and coordinate gathering of information, materials, documents, reports, and evidence necessary to respond to due diligence requests related to public and private equity and debt offerings
- Work with other members of the Corporate Legal team as well as other company functional departments on special projects and initiatives
Requirements
- University degree preferred
- Relevant paralegal certificate preferred
- Notary Public a plus
- 7+ yrs experience
- Excellent communication skills, including written communication
- Excellent organization, time management, project management, and leadership skills
- Strong knowledge of and willingness to learn various state and federal legal requirements
- Strong ability to self-motivate and multitask
- Excellent document management skills
- Strong proficiency with Microsoft Office applications, Adobe, DocuSign, and AI tools
