Corporate Secretarial Assistant Manager focusing on corporate governance and compliance for multinational clients in Asia-Pacific. Delivering company secretarial services with a hybrid work model.
Responsibilities
Support the Manager in delivering company secretarial and corporate governance services
Prepare and file annual returns, business registrations, and statutory forms
Maintain statutory books and records
Monitor compliance deadlines and ensure timely filings
Prepare and circulate board resolutions, minutes, and written resolutions
Serve as a day-to-day contact for assigned clients on company secretarial matters
Coordinate with clients' in-house legal and finance teams on corporate actions and transactions
Support onboarding of new clients, including company incorporations and KYC/due diligence processes
Assist with incorporation and dissolution of companies
Support corporate restructuring, share transfers, changes of directors/officers, and amendments to constitutional documents
Handle registration and updates of charges
Coordinate with external parties as needed
Assist in preparing payment proposals and engagement letters
Monitor WIP, follow-up on outstanding invoices and payment collection
Supervise and guide junior staff and the Admin Assistant
Review work output for accuracy and completeness
Assist in developing workflows and standard operating procedures
Requirements
Minimum 5-10 years in company secretarial / corporate services
ICSA / CGI qualified or equivalent (or near completion) preferred
Knowledge of Hong Kong Companies Ordinance, overseas jurisdictions (BVI, Cayman, Singapore, China etc.) an advantage
Strong attention to detail, ability to manage multiple clients and deadlines
Fluent in English; Cantonese and/or Mandarin preferred
Proficiency in company secretarial software (e.g., ViewPoint)
