About the role
- Corporate Governance Sr. Manager/Paralegal supporting Blackhawk Network’s legal group in litigation and governance tasks. Requires substantial experience and proficiency in legal documentation.
Responsibilities
- Provides support to the legal group primarily in the area of litigation, corporate governance, SEC filings, and entity maintenance
- Manages the process of exchanging information (documents, emails, data) between parties
- Manages, organizes, and reviews vast amounts of electronic documents using sophisticated software (Relativity, I-Pro)
- Prepares drafts of discovery requests and responses for attorney review
- Prepares routine legal documents, such as summonses, complaints, and motions
- Manages and organizes the pleadings file and coordinates court e-filings
- Prepares for depositions, including organizing exhibits and coordinating logistics
- Assists attorneys in the courtroom by managing documents and real-time information flow
- Conducts research on statutes, case law, and regulations relevant to corporate disputes
- Assists in preparation of SEC filings including Forms 10-K, 10-Q, and 8-K
- Creates and maintains corporate minute books for parent company and subsidiaries
- Drafts and prepares resolutions, bylaws, and other documents related to entity formation
- Entity management/corporate maintenance including drafting and filing corporate charter documents
Requirements
- Minimum of 8 years of related work experience
- Minimum of 5 years experience as a paralegal with a large law firm or corporate law department
- Associate’s degree or Bachelor’s degree and Paralegal Certificate
- Demonstrated proficiency in corporate entity formation and management
- Familiarity with wide-range of applicable laws
- International entity management experience desired
- Advanced Microsoft Excel/Word/Powerpoint knowledge
- Proxy, Annual Meeting, Board minutes and other corporate experience is highly preferred
- Stock administration experience is desired but not required
