About the role
- Senior Legal Counsel managing commercial contracts and legal strategy for a B2B SaaS company. Collaborating with Sales, Finance, and Product teams while maintaining compliance and protecting intellectual property.
Responsibilities
- Own and scale commercial contracting (Sales/GTM)
- Draft, review, and negotiate customer and partner agreements, and own the end-to-end contracting workflow from intake through signature
- Partner with Sales, Deal Desk, Finance, and RevOps to keep deals moving efficiently while maintaining clear risk posture on key terms
- MSAs / SaaS subscription agreements, order forms, and renewals
- Data Processing Agreements (DPAs), including SCCs and other cross-border transfer terms where applicable
- Security exhibits and customer procurement addenda
- Service level agreements (SLAs) and support terms
- Partner, reseller, referral, and alliance agreements
- Be a strategic legal partner to the business
- Serve as a trusted advisor to leadership and cross-functional teams on legal, compliance, and risk matters
- Advise on data protection, privacy, and security contracting and compliance
Requirements
- Juris Doctor (JD) from an accredited law school and active bar membership in good standing
- 7+ years of legal experience, with significant hands-on experience drafting and negotiating B2B SaaS commercial agreements
- Demonstrated experience supporting commercial sales teams and enterprise customer contracts
- Strong knowledge of SaaS business models, subscription licensing, and cloud computing is a must
- Deep expertise in commercial contracts, technology transactions, and risk management
- Excellent negotiation, drafting, and communication skills
- Ability to operate independently and prioritize effectively in a fast-paced environment
- Strong business judgment and the ability to translate legal complexity into practical guidance
- High level of integrity, professionalism, and ethical conduct
- Intellectual curiosity and enthusiasm for learning new technologies
