Senior Counsel providing legal services in mergers and acquisitions at Smith+Nephew. Advising on corporate transactions, managing due diligence, and collaborating with legal teams.
Responsibilities
Provide legal services in connection with mergers, acquisitions, divestitures, joint ventures and other major corporate transactions
Advise S+N businesses on M&A transactions and manage M&A transaction processes
Perform or oversee due diligence investigations and reviews of businesses being considered for transactions
Manage and supervise outside counsel as necessary
Participate in implementation of Legal team strategy, administration and improvement initiatives
Act as liaison to Company Secretariat and other work as assigned by Associate General Counsel, Transactions & Corporate
Requirements
LLB/Bachelor degree from a well-respected institution required
Admitted to practice in New York and/or with American Bar Association Membership
More than 5 year’s post-qualification experience at a top tier US M&A practice
In-house experience would be useful but is not a requirement
Experience in healthcare/pharma/medical devices would be useful
Fluent in written and spoken English
Excellent analytical, communication and interpersonal skills
Strong ability to communicate complex issues in concise terms
Able to work autonomously within the role and operate at a senior professional level advising leadership and management teams
A keen interest in understanding the business, its strategies, its people and its organisational structures
Ability to work collaboratively with others, both within and outside of Legal team
Strong time management and prioritisation skills
Demonstrated ability to work across cultures and time zones and to exercise strong business and legal judgement.
