About the role

• Senior Counsel providing legal services in mergers and acquisitions at Smith+Nephew. Advising on corporate transactions, managing due diligence, and collaborating with legal teams.

Responsibilities

• Provide legal services in connection with mergers, acquisitions, divestitures, joint ventures and other major corporate transactions
• Advise S+N businesses on M&A transactions and manage M&A transaction processes
• Perform or oversee due diligence investigations and reviews of businesses being considered for transactions
• Manage and supervise outside counsel as necessary
• Participate in implementation of Legal team strategy, administration and improvement initiatives
• Act as liaison to Company Secretariat and other work as assigned by Associate General Counsel, Transactions & Corporate

Requirements

• LLB/Bachelor degree from a well-respected institution required
• Admitted to practice in New York and/or with American Bar Association Membership
• More than 5 year’s post-qualification experience at a top tier US M&A practice
• In-house experience would be useful but is not a requirement
• Experience in healthcare/pharma/medical devices would be useful
• Fluent in written and spoken English
• Excellent analytical, communication and interpersonal skills
• Strong ability to communicate complex issues in concise terms
• Able to work autonomously within the role and operate at a senior professional level advising leadership and management teams
• A keen interest in understanding the business, its strategies, its people and its organisational structures
• Ability to work collaboratively with others, both within and outside of Legal team
• Strong time management and prioritisation skills
• Demonstrated ability to work across cultures and time zones and to exercise strong business and legal judgement.
