About the role
- Corporate Counsel managing corporate and securities matters for pioneering AI computing company. Leading legal due diligence and compliance in a high-growth environment.
Responsibilities
- Manage the preparation and filing of all periodic reports, including Forms 10-K, 10-Q, and 8-K.
- Oversee the annual proxy statement and shareholder meeting processes.
- Provide legal support for Board and Committee meetings, including drafting agendas, resolutions, and minutes.
- Advise on best practices for Board processes and corporate policies.
- Administer the company's insider trading policy, Section 16 reporting (Forms 3, 4, and 5), and Rule 10b5-1 trading plans.
- Lead legal due diligence and document negotiation for M&A and equity or debt financing transactions.
- Partner with the IR and Communications teams to review earnings releases, investor presentations, and press releases for legal compliance.
- Oversee the legal maintenance and governance of domestic and international subsidiaries.
- Advise on legal issues related to stock plans, equity grant matters, and executive compensation disclosures.
Requirements
- 5+ years of relevant legal experience at a top-tier law firm and/or in-house legal department, with a strong focus on public company securities law.
- Proven experience advising high-growth technology companies on '33 and '34 Act compliance and Nasdaq/NYSE listing requirements.
- Strong deal management experience across M&A and financing transactions.
- Familiarity with cloud infrastructure and AI concepts is beneficial but not required.
- Business acumen and critical thinking with the ability to interact confidently with senior stakeholders and move quickly in a fast-paced environment.
- Excellent communication and stakeholder management skills.
- Can-do attitude and strong work ethic; no task is beneath you and no problem is unsolvable.
- J.D. from an accredited law school and active bar admission in good standing.
