About the role
- Senior Lawyer managing corporate governance for MAHLE legal departments in South America. Responsible for compliance, internal controls, and tax processes, fostering internal client relations in a hybrid work model.
Responsibilities
- Responsible for corporate acts for the entire group, including publicly-held corporations (S/A) and limited liability companies (LTDA).
- Develop various procedures related to corporate law.
- Draft corporate documents and minutes, including changes of address, changes in share capital, amendments to articles of association or bylaws and other related requirements, and monitor filing of these documents with the respective commercial registries.
- Establish and maintain strong relationships with the company's internal clients.
- Monitor legislative and case-law developments relevant to the sector.
- Manage external law firms to ensure the proper progress of tax litigation and proceedings.
- Reduce the tax-case portfolio through analysis of legal theses for active cases.
- Remain committed to the occupational health and safety system, following established rules and procedures to comply with company policy.
- Contribute to maintaining quality and continuous-improvement programs by following procedures, identifying potential improvements and supporting their implementation.
- Remain committed to the quality management and environmental management systems, following established rules and procedures to comply with company policy.
Requirements
- Law degree (Bachelor of Laws) with active registration in the Brazilian Bar Association (OAB).
- Postgraduate specialization in Corporate Law and/or Tax Law preferred.
- Advanced or fluent English.
- Experience in corporate law involving corporations (S/A), preferably in companies with publicly listed capital.
- Availability to work in a hybrid model (4x1) in Mogi Guaçu, São Paulo (SP).
